§ 1

Acceptance

By creating an ASIRI account or accessing the service, you agree to these Terms on behalf of yourself and the legal entity you represent. If you do not agree, do not use ASIRI.

§ 2

The service

ASIRI provides a multi-tenant SaaS platform for NDPA 2023 compliance, including modules for consent, DSR, DPIA, breach response, policy generation, lawful basis, cross-border transfers, RoPA, audit logging and the Asiri Copilot.

§ 3

Your account

You are responsible for the accuracy of registration data, the security of credentials, and the actions of every user under your tenant. Notify us immediately of suspected unauthorised access at security@asiri.ng.

§ 4

Acceptable use

No reverse engineering, no resale without a DPCO partner agreement, no use to violate any law, no scraping or load-testing without prior written consent, no upload of malware or material that infringes third-party rights.

§ 5

Customer data

You retain all rights to your customer data. You grant ASIRI a limited licence to process it solely to operate, secure and improve the service, in accordance with the DPA at /policy/dpa.

§ 6

Fees

Fees are stated in your order form, billed in NGN or USD. Annual contracts auto-renew unless cancelled 30 days before renewal. Late invoices accrue 1.5% monthly.

§ 7

Service levels

We target 99.9% monthly uptime for paid tiers. Service credits for confirmed downtime are issued per the SLA addendum. Excludes scheduled maintenance and force majeure.

§ 8

Confidentiality

Each party will protect the other’s confidential information with the same care it uses for its own (no less than reasonable care) and will use it only to perform under these Terms.

§ 9

Warranties & disclaimers

ASIRI is provided on an "as is" basis. We disclaim implied warranties to the maximum extent permitted by law. ASIRI is not legal advice; outputs from the Asiri Copilot are decision-support, not a regulatory opinion.

§ 10

Limitation of liability

Neither party is liable for indirect, incidental, special or consequential damages. Aggregate liability for any claim is capped at fees paid in the 12 months preceding the claim.

§ 11

Indemnity

Each party will indemnify the other for third-party claims arising from its breach of confidentiality or its violation of applicable law in connection with the service.

§ 12

Termination

Either party may terminate for material breach uncured after 30 days’ notice. On termination, you may export data for 30 days; thereafter we delete it unless legally required to retain.

§ 13

Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes are resolved by arbitration in Lagos under the Arbitration and Mediation Act 2023, with English as the language.

§ 14

Changes

Material changes are announced 30 days in advance. Continued use after the effective date constitutes acceptance.
